EnE club (Entrepreneur and Executive club), in an ongoing collaboration with Perkins Coie, is presenting a series of round table discussions on startup legal topics. We are excited to present the second session of the series:
Term Sheets 101: How to Negotiate with Angels and VCs
In this session, the presenters will discuss the most important sections of a term sheet for entrepreneurs to negotiate with Angels and VCs. After the discussion, an experienced angel investor and a lawyer who typically represents emerging companies in venture capital financings will battle over the terms in a term sheet.
Zhanping Wu will lead the initial discussion and Jim Jensen and Jun Li will battle over a mock term sheet. The session will be interactive and audience's participation in discussion is highly encouraged. Seats are limited and individuals who already have registered businesses will be given priority.

Jun LI
Mr. LI, the founding partner of China Start-up Republic Ventures, a seed fund and accelerator in China. Jun is a successful serial entrepreneur, angel investor and venture capitalist. Jun started his first company in Japan in early 1990s. Jun moved to Silicon Valley in 1999 and founded 5 companies since then. In the mean time, as an angel investor, Jun has invested in 15 early stage companies, he recently founded CSR Ventures in China, built a startup boot camp office in Shanghai called innovation camp (http://www.innovation-camp.com). Jun is a member of Band of Angels, Silicon Valley's oldest angel investor organization. Jun was a graduate of Peking University and a board member of the PKUAANC EnE club.
James (Jim) JENSEN
Mr. Jensen, a partner in the firm's Emerging Companies Group and a leader of the Firm's China Emerging Company and the Investment Fund Formation practices in Silicon Valley, represents emerging companies, accelerator/incubators and venture capital funds in diverse industries, including clean technology (e.g., biofuels, LEDs, smart meters and solar), digital media, Internet, medical devices, mobile, security and software. He is a technology entrepreneur and has formed and run multiple e-commerce and other Internet companies, which gives him a unique understanding of legal issues as viewed through the eyes of entrepreneurs. Zhanping (Ping) WU
Ms. Wu is a corporate attorney at Perkins Coie and a leader of the Firm's China Emerging Company practice. Her practice includes corporate formation, venture capital financings, mergers & acquisitions, public offerings, technology transfer transactions and general business counseling. She is listed in Super Lawyers Magazine as a "Northern California Rising Star," 2011. Ping was a top graduate of Peking University.
